In a landmark transaction, principals of the MemeCore ecosystem have agreed to transfer $1.0 billion worth of MemeCore ($M) tokens to Nasdaq-listed ZeroStack Corp. in exchange for common stock and pre-funded warrants. Under the definitive agreement, Puple AI Inc. and Blockcat Pte. Ltd. will contribute 925,925,926 $M tokens—valued at $1.08 per token based on prevailing market prices—to ZeroStack. In return, they will receive 3,500,000 shares of ZeroStack common stock and pre-funded warrants to purchase up to 36,198,293 additional shares at an agreed value of $25.19 per share, a premium of more than twelve times ZeroStack's recent trading price.
The warrants are subject to shareholder approval under Nasdaq Listing Rule 5635 and will not be exercisable until that approval is obtained. Additionally, shares issued upon exercise will be locked up for up to ten years following the closing, ensuring long-term alignment between the parties.
